Minor Talent Release Agreement

This Minor Talent Release Agreement (“Agreement”) is entered into by and between the undersigned parent or legal guardian (“Guardian”) of the minor participant identified below (“Minor”) and The Power Is Now Media, a division of Eric Lawrence Frazier Advisory Services (“TPIN Media”). For the purposes of this Agreement, “TPIN Media” includes its divisions, affiliates, successors, assigns, licensees, sublicensees, distributors, staff, contractors, and associated platforms. By electronically signing this Agreement, the Guardian confirms understanding of and consent to all terms pursuant to the E-SIGN Act and the Uniform Electronic Transactions Act.

1. Authority of Parent or Legal Guardian

The Guardian represents and warrants that they are the lawful parent or legal guardian of the Minor, possessing full legal authority to enter into this Agreement on the Minor’s behalf. The Guardian further represents that no other person or entity holds rights that conflict with or impair the execution of this Agreement and that no court order restricts the Guardian’s ability to contractually bind the Minor for participation in media production activities.

2. Grant of Rights to TPIN Media

The Guardian grants TPIN Media the perpetual, irrevocable, worldwide, royalty-free, transferrable, and sublicensable right to record, film, photograph, capture, adapt, edit, broadcast, publish, distribute, promote, license, reproduce, and otherwise use the Minor’s name, likeness, voice, image, biographical information, statements, performance, and creative contributions (“Minor Materials”) in any manner and in all media now known or later developed. This includes the right to create derivative works, translations, adaptations, composites, reenactments, digital simulations, AI-generated representations, and any technological or artistic modifications of the Minor Materials.

The Guardian acknowledges that the Minor will receive no compensation unless expressly agreed in a separate written agreement.

3. Copyright Ownership and Work-Made-for-Hire

The Guardian acknowledges that all intellectual property rights in content produced or captured by TPIN Media involving the Minor shall belong exclusively to TPIN Media. To the extent the Minor contributes creative material, such contributions are deemed “works made for hire.” If any contribution does not meet the statutory criteria for a work made for hire, the Guardian hereby assigns to TPIN Media all rights, titles, interests, copyrights, and derivative rights in the Minor Materials immediately upon creation.

4. Editorial Discretion and Creative Control

The Guardian acknowledges that TPIN Media retains exclusive discretion and final authority over all editorial decisions, including recording, editing, sequencing, formatting, duration, presentation, promotional use, and distribution of the Minor Materials. The Guardian waives any right to review or approve the Minor Materials prior to publication and waives any right to contest the editorial or creative decisions made by TPIN Media.

5. No Removal Rights

The Guardian understands and agrees that TPIN Media is under no obligation to remove, suppress, alter, edit, restrict, or discontinue the distribution of the Minor Materials once published. The Guardian waives any right to request removal or suppression of content from TPIN Media or from third-party distribution platforms, regardless of personal, professional, or familial concerns that may arise in the future.

6. Non-Disparagement

The Guardian agrees that neither the Guardian nor the Minor shall, at any time and in any manner, directly or indirectly, publicly or privately, make, publish, or communicate any negative, defamatory, harmful, misleading, critical, or disparaging statements about TPIN Media, Eric Lawrence Frazier, Eric Lawrence Frazier Advisory Services, any TPIN Media personnel, contributors, collaborators, productions, or editorial decisions. This covenant applies universally across all communication channels and survives indefinitely. Any violation constitutes a material breach of this Agreement.

7. Confidentiality

The Guardian agrees to maintain strict confidentiality regarding all non-public information obtained in connection with the Minor’s participation, including production processes, schedules, internal communications, proprietary methods, and unpublished content. This obligation extends to the Minor and survives perpetually.

8. DMCA Takedown Waiver

The Guardian acknowledges that TPIN Media is the sole copyright owner of the Minor Materials and therefore agrees that neither the Guardian nor the Minor shall file DMCA takedown notices, copyright claims, suppression requests, or any legal or administrative effort to remove the Minor Materials from any platform. The Guardian also agrees not to authorize or encourage others to file such claims. Any attempt to interfere with distribution constitutes a breach of this Agreement and subjects the Guardian to liability for damages and attorney fees.

9. Waiver of Injunctive Relief

The Guardian expressly waives any right to seek injunctive or equitable relief, including temporary restraining orders, preliminary injunctions, takedown orders, or any remedy that would restrict or interfere with TPIN Media’s use of the Minor Materials. Any remedy available to the Guardian is limited solely to monetary damages, subject to the restrictions in this Agreement.

10. Representations and Warranties of the Guardian

The Guardian represents and warrants that the Minor’s participation does not infringe any copyright, trademark, privacy right, or proprietary interest; that no contractual or legal obligations prohibit the Minor’s participation; that the Minor will not disclose any confidential information belonging to third parties; and that all statements and materials submitted are truthful. TPIN Media is entitled to rely on these warranties.

11. Indemnification

The Guardian agrees to indemnify, defend, and hold harmless TPIN Media and Eric Lawrence Frazier Advisory Services against all claims, actions, losses, liabilities, damages, or expenses arising from the Minor’s participation, the Minor Materials, any breach of this Agreement, or any claims of infringement, defamation, privacy violations, or misuse of intellectual property. This obligation survives indefinitely.

12. Anti-Repudiation and Electronic Signature

The Guardian acknowledges that the act of checking the required box, typing the Guardian’s name, and submitting the Agreement electronically constitutes a legally binding signature under federal and state law. The Guardian waives any right to deny or repudiate execution of this Agreement and acknowledges that any attempt to do so constitutes fraud.

13. Governing Law and Venue

This Agreement is governed exclusively by the laws of the State of California. The exclusive venue for any dispute arising under this Agreement is the state or federal courts in Riverside County, California.
