Liability Waiver and Release Agreement

This Liability Waiver and Release Agreement (“Agreement”) is entered into by and between the undersigned participant (“Participant”) and The Power Is Now Media, a division of Eric Lawrence Frazier Advisory Services (“TPIN Media”). For purposes of this Agreement, “TPIN Media” includes its officers, directors, employees, contractors, agents, volunteers, successors, assigns, licensees, producers, partners, and any affiliated entity. By electronically signing this Agreement, the Participant consents to be legally bound under the E-SIGN Act and the Uniform Electronic Transactions Act.

1. Assumption of Risk

The Participant acknowledges that participation in TPIN Media activities, recordings, events, productions, onsite filming, interviews, studio sessions, remote-location filming, property tours, and any travel or movement associated with such activities involves inherent risks. These risks include, but are not limited to, physical injury, illness, property damage, equipment hazards, electrical risks, tripping or slipping hazards, exposure to lighting or sound equipment, interactions with third parties, transportation-related risks, unpredictable environmental conditions, and the risk of contracting airborne, surface-based, or communicable illnesses. The Participant voluntarily assumes all risks associated with participation, whether known or unknown, foreseeable or unforeseeable, including risks arising from the negligence of TPIN Media.

2. Release of Liability

In consideration of being permitted to participate in TPIN Media activities, the Participant irrevocably releases, waives, and discharges TPIN Media and Eric Lawrence Frazier Advisory Services from any and all claims, liabilities, actions, damages, losses, costs, expenses, or demands arising out of or related to the Participant’s participation, presence, performance, travel, or involvement with TPIN Media. This release includes claims based on negligence, premises liability, unsafe conditions, defective equipment, third-party actions, accidents, injuries, illness, emotional distress, and any other form of harm. The Participant agrees that this release extends to all known and unknown claims and expressly waives all rights under California Civil Code § 1542, acknowledging that this waiver applies to claims the Participant does not presently know or suspect to exist.

3. Medical Consent and Financial Responsibility

The Participant consents to receive emergency medical care, including diagnosis, first aid, treatment, or transportation, if deemed necessary during participation. The Participant acknowledges that TPIN Media is not responsible for medical expenses, deductibles, treatments, or any financial obligations resulting from injury or illness. The Participant agrees to be solely responsible for all medical costs incurred, whether or not the Participant has personal insurance coverage.

4. No Guarantee of Safety

The Participant acknowledges that TPIN Media does not guarantee a risk-free environment and does not represent that its studios, equipment, production environments, interview locations, partner facilities, or travel arrangements are free from hazards. The Participant accepts full responsibility for evaluating personal health, fitness, and ability to participate safely. Participation is voluntary and undertaken at the Participant’s sole risk.

5. Responsibility for Personal Property

The Participant acknowledges that TPIN Media is not responsible for loss, theft, damage, destruction, or misplacement of personal property brought to any TPIN Media recording, studio, event, or associated location. The Participant assumes full responsibility for securing personal items and waives any claim against TPIN Media arising from property damage or loss.

6. Compliance with Instructions and Policies

The Participant agrees to follow all instructions, safety guidelines, rules, directives, and procedures provided by TPIN Media, its staff, contractors, or representatives. The Participant understands that failure to comply may increase risks and may result in removal from the activity without refund or remedy.

7. Indemnification

The Participant agrees to indemnify, defend, and hold harmless TPIN Media and Eric Lawrence Frazier Advisory Services from any and all claims, damages, liabilities, losses, costs, and attorney fees arising out of or related to the Participant’s actions, omissions, negligence, misconduct, breach of this Agreement, violation of instructions or safety rules, or involvement in TPIN Media activities. This indemnification obligation survives indefinitely.

8. No Takedown or Removal Rights

The Participant acknowledges that the Liability Waiver is independent of any recording or media agreement but applies concurrently. The Participant waives any right to request removal, suppression, alteration, or takedown of any media or recordings associated with the activities covered by this Agreement. The Participant acknowledges that TPIN Media has no obligation to remove content based on safety incidents, medical events, injuries, or other circumstances arising before, during, or after participation.

9. Non-Disparagement

The Participant agrees not to make, publish, or communicate any negative, defamatory, harmful, derogatory, misleading, or disparaging statements about TPIN Media, The Power Is Now Media, Eric Lawrence Frazier, Eric Lawrence Frazier Advisory Services, any staff member, contractor, or production process, including statements related to safety, equipment, facilities, injuries, or perceived risks. Any violation constitutes a material breach and may result in legal action for damages.

10. Representations of Health and Fitness

The Participant represents that they are physically and mentally capable of participating safely in TPIN Media activities, that they do not suffer from any condition that would pose unreasonable risk to themselves or others, and that they have not been advised by a medical professional to avoid similar activity. The Participant assumes full responsibility for evaluating personal health conditions in relation to participation.

11. Anti-Repudiation and Electronic Signature

The Participant acknowledges that checking the required box, typing the Participant’s name, and submitting this Agreement electronically constitutes a legally binding signature. The Participant waives any right to deny or repudiate execution of this Agreement and understands that any attempt to do so constitutes fraud under federal and state law.

12. Governing Law and Venue

This Agreement is governed exclusively by the laws of the State of California. The exclusive venue for any dispute, claim, or legal proceeding shall be the state or federal courts located in Riverside County, California.
