Talent Release Agreement

This Talent Release Agreement (“Agreement”) is entered into by and between you (“Talent”) and The Power Is Now Media, a division of Eric Lawrence Frazier Advisory Services (“TPIN Media”). For the purposes of this Agreement, the term “TPIN Media” includes The Power Is Now Media, Eric Lawrence Frazier Advisory Services, all divisions, subsidiaries, affiliates, platforms, licensees, sublicensees, successors, distributors, and authorized agents. By electronically signing this Agreement through the act of checking the required box, typing your name, and submitting through digital form, you consent to be legally bound under the E-SIGN Act and the Uniform Electronic Transactions Act.

1. Grant of Rights and Release of Claims

You grant TPIN Media the perpetual, irrevocable, worldwide, royalty-free, fully transferable, and fully sublicensable right to record, film, photograph, capture, reproduce, edit, adapt, stream, broadcast, publish, distribute, promote, license, monetize, archive, display, and otherwise use your name, voice, persona, likeness, biographical information, performance, statements, and creative contributions (“Talent Materials”) in any medium now known or later developed. You acknowledge that this grant includes the right to create derivative works, composites, adaptations, translations, reenactments, digital simulations, AI-generated representations, and any technological or artistic transformation of your performance. You fully and irrevocably release TPIN Media from all claims of any kind relating to the use of the Talent Materials, including claims for infringement, defamation, emotional distress, false light, misappropriation, or any alteration or composite use of your appearance.

2. Work-Made-for-Hire and Copyright Ownership

To the extent you create or contribute expressive content for TPIN Media, you acknowledge that all such contributions constitute a “work made for hire” under 17 U.S.C. § 101, and TPIN Media is the sole copyright owner. If any contribution does not qualify as a work-made-for-hire, you hereby assign to TPIN Media all worldwide rights, titles, and interests in the material immediately upon creation, including all copyrights and derivative rights. You waive all moral rights, attribution rights, approval rights, and inspection rights under U.S. and international copyright statutes.

3. Editorial Control and Creative Discretion

You acknowledge that TPIN Media retains absolute and unilateral authority over all creative and editorial decisions involving the Talent Materials. This includes full discretion over recording, editing, sequencing, formatting, contextual placement, selective editing, or exclusion altogether. You waive any right to review, approve, or challenge TPIN Media’s editorial decisions.

4. No Compensation Unless Expressly Agreed

Unless a separate written agreement specifically provides compensation, you acknowledge that your participation is voluntary and uncompensated. You will not receive royalties, residuals, licensing fees, profit-sharing, appearance fees, or any other form of compensation now or in the future. This Agreement does not create an employment relationship, partnership, joint venture, fiduciary obligation, or agency relationship.

5. No Removal Rights and No Right to Restrict Distribution

You acknowledge that TPIN Media is under no obligation to remove, edit, suppress, discontinue, or restrict any content that includes your appearance. You expressly waive any right to request that TPIN Media remove or alter published content on its platforms or from third-party distribution systems. You further acknowledge that TPIN Media has full discretion over whether to continue distributing your content indefinitely.

6. Non-Disparagement

You agree that you shall not, at any time, publicly or privately, and whether directly or indirectly, make, publish, or communicate any negative, defamatory, harmful, misleading, derogatory, or disparaging statements about TPIN Media, Eric Lawrence Frazier, Eric Lawrence Frazier Advisory Services, any employee, contractor, guest, contributor, production decision, editorial decision, or associated entity. This covenant applies to social media, videos, blogs, podcasts, interviews, reviews, comments, and private communications. Any violation constitutes a material breach.

7. Confidentiality

You agree to maintain complete confidentiality regarding all non-public information you encounter during your involvement with TPIN Media, including production processes, editorial methods, scripts, schedules, communications, recordings, unpublished material, proprietary systems, and business methods. You may not disclose or use any confidential information for any purpose outside your participation. This obligation survives indefinitely.

8. DMCA Takedown Waiver

You acknowledge that TPIN Media owns all copyrights in the Talent Materials and agree that you shall not file DMCA takedown notices, copyright complaints, or other suppression or removal requests relating to TPIN Media content that includes your appearance. You also agree not to authorize or encourage others to file such claims. Any attempt to suppress content constitutes breach of this Agreement, and TPIN Media may pursue damages and attorney fees.

9. Waiver of Injunctive Relief

You expressly waive any right to seek injunctive or equitable relief, including requests to pause, prevent, or remove publication or distribution of content including your appearance. Your exclusive remedy, if one exists, is limited to monetary damages as permitted by law.

10. Representations and Warranties

You represent and warrant that you have full legal authority to enter into this Agreement; that your participation does not violate any contractual, legal, or ethical obligations; that your statements and contributions do not infringe any copyright, trademark, privacy right, or proprietary interest; and that all information or materials you provide are truthful and lawful. TPIN Media relies on these representations in producing and distributing the Talent Materials.

11. Indemnification

You agree to indemnify, defend, and hold harmless TPIN Media and Eric Lawrence Frazier Advisory Services from all claims, damages, liabilities, costs, losses, and attorney fees arising out of or related to your participation, your statements, your materials, your conduct, or your breach of this Agreement.

12. Anti-Repudiation and Electronic Signature

You acknowledge that your electronic signature—including your typed name, IP address, timestamp, and affirmative checkbox selection—constitutes a legally binding signature under applicable law. You waive any right to deny or challenge your execution of this Agreement.

13. Governing Law and Venue

This Agreement is governed exclusively by the laws of the State of California. The exclusive venue for disputes is the state or federal courts located in Riverside County, California.
